Geoffrey S. Mitchell is an accomplished private attorney with offices in Annapolis, Maryland. Geoffrey Mitchell has extensive experience in legal and business issues both as inside general counsel and as a senior partner of major Baltimore and Washington law firms. Mitchell has hands-on experience with general business operations, distribution, sales, licensing and teaming agreements, and with the use of Internet and software systems in the sale of products and services.

Mitchell advises on the incorporation of C corporations, Subchapter S corporations, limited liability companies and general and limited partnerships including agreements among partners, members and stockholders and compensation arrangements. He has recently structured several offerings of corporate stock and LLC membership units that are exempt from registration under the Securities and Exchange Act, and has worked with investors and companies on debt and equity arrangements. Mitchell has recently represented both buyers and sellers of businesses in mergers and in sales of stock and assets. He has handled liquidations and dissolutions. He has recently formed private equity funds for clients who are investing in technology and real estate properties in the District of Columbia.
