Geoffrey S. Mitchell LLC, is a private law firm with its principal office in Annapolis, Maryland. Mitchell is an accomplished attorney admitted to practice in Maryland and the District of Columbia.  Mitchell has extensive experience in international and domestic legal and business issues both as corporate general counsel and as a partner in major law firms. our locationHe is a proven advisor to executive management on debt and equity financings, mergers and acquisitions, Internet and eCommerce businesses, International operations and litigation management. Mitchell currently represents a number of US and foreign companies on corporate, contract and business matters.

 Mitchell formerly served as inside General Counsel to SynXis Corporation, a high technology company providing Internet reservations systems to the hospitality industry. In 2005 Geoffrey supervised and resolved all legal elements of the successful sale of SynXis to Sabre Inc. of Dallas, Texas for 40 Million Dollars in cash. As a part of the sale process Mitchell resolved all claims of the option and warrant holders and implemented an accord with respect to distribution of proceeds among the various series of preferred stockholders.

signPreviously Mitchell had co-ordinated and managed all legal aspects of the Series B and Series C Preferred Stock Offerings totaling a combined raise of over 15 Million Dollars to US and European investment funds. Geoffrey also managed the spin-off and sale of a digital business directory division owned by SynXis, a convertible debt offering, and the acquisition by SynXis of HubX, a primary competitor, in Boston.

Mitchell joined SynXis, a high tech start-up backed by venture capital from George Soros and European and U.S. investment funds, at an early stage. He established the legal framework within which SynXis is now providing Internet-accessed reservation systems to over 10,000 hotels worldwide enabling hotels to sell rooms through 2000+ travel web sites (Travelocity, Expedia, Hotels.com, Hotwire, Lastminute.com, etc.), the global distribution networks (Sabre, Galileo, Amadeus, and Worldspan) and through hotel web sites and call centers.

Prior to joining SynXis Mitchell chaired and administered Semmes Bowen and Semmes, a 180+ person law firm with offices in Baltimore and Washington, where he acted as outside counsel to MBNA America Bank, N.A. for a number of years, and for which he and his firm represented the MBNA in its IPO. He has represented national banks, state banks and thrifts on numerous matters. He also acted as outside general counsel to RTKL Associates, Architects and Engineers, in all its legal matters including its international expansion.

Mitchell has extensive overseas experience in organizing and representing joint venture companies and European financial institutions in starting and investing in businesses in Japan, Europe, Russia, Ukraine and The British Virgin Islands. He structured SynXis worldwide operations, including legal and business aspects of distribution and pricing, and managed all legal matters for Irish and Dutch subsidiaries.

His responsibilities have extended beyond legal matters. At SynXis he successfully organized and led a periodic multi-disciplinary review of all customer relationships that detected and resolved customer problems at an early stage resulting in increased levels of customer retention, an excellent record of contract renewals and systematic price increases.

He has represented a major Japanese company in its U.S. operations and is the former Chair of the State of Maryland/Prefecture of Kanagawa Sister State Relationship and is a founding director of the World Trade Center Institute of Maryland.
